Job Scope:
Manage all corporate legal matters to ensure that all business operations comply with applicable laws, regulations, and statutory requirements.
Draft, review, analyze, and negotiate contracts, commercial agreements, Memorandums of Understanding (MoUs), Non-Disclosure Agreements (NDAs), vendor agreements, charter parties, purchase agreements, and other legal documents.
Ensure that all corporate licenses and permits related to Mining, Shipping, Mining Consulting, and Trading remain valid, complete, and compliant with government regulations.
Provide legal opinions, legal advice, and strategic recommendations to the Board of Directors and all departments regarding legal risks, regulatory compliance, and business operations.
Identify, assess, and mitigate legal risks that may affect the Company's operations, projects, investments, and business development activities.
Manage legal dispute resolution processes, including coordination with external legal counsel, notaries, government authorities, law enforcement agencies, and courts when required.
Ensure the implementation of Good Corporate Governance (GCG), legal compliance, and continuous monitoring of regulatory changes impacting the Company's business activities.
Provide legal support and guidance to all business units on mining operations, shipping, commodity trading, procurement, investments, and strategic business partnerships.
Conduct legal due diligence for projects, investments, acquisitions, divestments, and strategic business collaborations.
Manage the administration, filing, and control of all corporate legal documents to ensure systematic, secure, and traceable documentation.
Establish and maintain effective relationships with government agencies, regulators, notaries, industry associations, and other external stakeholders to support the Company's business interests.
Lead, supervise, develop, and evaluate the performance of the Legal team to ensure departmental objectives are achieved and aligned with the Company's strategic goals.
Job Requirements:
Bachelor's Degree (S1) in Law, preferably majoring in Business Law, Civil Law, or International Law.
Minimum 5 years of experience in Corporate Legal, including at least 2 years in a Supervisor or Superintendent role.
Previous experience in the Mining, Shipping, Mining Consulting, or Trading industries is highly preferred.
Hold a valid PKPA (Special Professional Advocate Education) and UPA PERADI (Indonesian Advocates Association) certification.
Strong knowledge of Indonesian laws and regulations related to mining, shipping, trade, investment, employment, environmental law, and corporate law.
Proven experience in drafting, reviewing, analyzing, and negotiating commercial contracts, business agreements, and other corporate legal documents.
Sound understanding of Good Corporate Governance (GCG), legal compliance, corporate licensing, and corporate legal risk management.
Experienced in handling legal disputes, industrial relations matters, litigation, and coordinating with external legal counsel, notaries, and government authorities.
Strong leadership, communication, negotiation, legal analysis, problem-solving, and decision-making skills.
Proficient in Microsoft Office applications; good command of English (both written and spoken is preferred); willing to travel to all Company operational sites as required.
Permanently domiciled in the Greater Jakarta (Jabodetabek) area.
