Position required : GCG Manager - can speak English- fluent, Mandarin-preferred.
Key Responsibilities (Job-desk):
We need a GCG Manager responsible for Good Corporate Governance (GCG) is tasked with ensuring that all company operations comply with laws and regulations (compliance) and the principles of good corporate governance (transparency, accountability, responsibility, independence, and fairness).
The following are the main duties, responsibilities, and roles of the GCG Manager:
Conduct periodic mapping and assessment of the implementation of corporate governance policies within the company.
Develop and update Good Corporate Governance (GCG) guidelines, the code of conduct, and other supporting Standard Operating Procedures (SOPs).
Manage the violation reporting system (whistleblowing system/WBS) and gratuity guidelines.
Serve as a liaison or facilitator for compliance evaluations involving internal parties and external auditors or consultants.
Conduct outreach and education, and raise awareness among all employees regarding the importance of an ethical work culture and GCG principles.
Coordinate and assist the Director, including providing work reports to the Director.
Lead a team in the GCG department & Create GCG department planning and strategies.
Provide warnings to Directors, other departments and parties who are suspected of violating company regulations or laws within the Company.
Governance Guidelines: Encouraging and overseeing the organization's implementation of GCG best practices across all company units.
GCG Self-Assessment: Conducting self-assessments of governance implementation and assisting in the preparation of GCG reports.
Legal Risk Management: Identifying and managing legal risks that could harm the company.Dispute Handling & Risk Mitigation:
Suporting industrial relations disputes or disputes with partners.External Coordination:
Bridging the company's relationships with third parties such as notaries, external legal consultants, and government agencies.
Qualification:
Minimum Bachelor’s degree (S1) in Law, Economics, Accounting, or Business Management.
Minimum 3–5 years of work experience in GCG (Good Corporate Governance), risk management, corporate law, or auditing.
Possession of relevant professional certifications in GCG or compliance, such as Certified GCG or a recognized risk management certification.
Fluent in English; Mandarin is an advantage.
Placement in the East Halmahera region, North Maluku.
Technical Knowledge:
Understanding of applicable Indonesian laws and regulations (e.g., the Limited Liability Company Law, OJK regulations, etc).
Mastery of the five key GCG principles: transparency, accountability, independence, responsibility, and fairness.
Ability to conduct periodic corporate governance evaluations (assessments) and audits.
Soft Skills:
High level of integrity and work ethics.
Effective communication and negotiation skills with the Board of Directors and stakeholders.
Strong analytical skills to resolve issues related to legal compliance risks and business ethics.
