Job Summary
Responsible for providing corporate secretarial and compliance services to clients, including company incorporation, licensing, and ongoing statutory maintenance in accordance with Indonesian laws and regulations. The role also involves liaising with relevant authorities and ensuring timely and accurate corporate filings.
What You’ll Do
A. Company Incorporation & Licensing
Handle end-to-end company incorporation process (PT PMA / Local PT), including name reservation, deed of establishment, and legalization
Coordinate with Notaries, BKPM/OSS system, and relevant authorities for business registrations and licensing
Prepare and review incorporation documents, shareholders’ resolutions, and corporate forms
Assist clients in obtaining business licenses (NIB, OSS licenses, sector-specific permits)
Advise clients on appropriate corporate structure and regulatory requirements
B. Corporate Secretarial & Compliance
Maintain statutory records and corporate registers for clients
Prepare board resolutions, shareholders’ resolutions, and minutes of meetings
Handle changes in company structure (e.g. directors, commissioners, shareholders, capital changes)
Ensure timely submission of statutory filings and compliance with Indonesian Company Law
Monitor compliance deadlines and ensure clients meet regulatory requirements
C. Client & Authority Liaison
Act as main point of contact for clients on corporate secretarial matters
Liaise with Notaries, government authorities, and regulatory bodies
Provide advisory support on corporate governance and compliance matters
Coordinate with internal accounting and tax teams for integrated client services
D. Documentation & Administration
Ensure proper filing and safekeeping of corporate documents
Maintain accurate and up-to-date client records
Support internal compliance and process improvements
Assist with due diligence and corporate documentation for transactions
E. Ad-hoc Support
Assist in cross-border corporate structuring matters (if applicable)
Support management with special projects and assignments
What We’re Looking For
Bachelor’s Degree in Law, Business Administration, Corporate Governance, or related field
Minimum 3–5 years of experience in corporate secretarial or corporate services role
Familiar with Indonesian Company Law and OSS/BKPM processes
Experience in handling company incorporation and licensing procedures
Strong organizational skills with attention to detail
Able to manage multiple clients and meet tight deadlines
Language & Communication Requirement
Proficiency in Mandarin (spoken) is required to liaise with China-based partners and stakeholders
Good command of English and Bahasa Indonesia
Experience in multinational or consulting environment
