About the Role
We are looking for an experienced professional to take on the lead for Strategy and Governance Function. Under POJK No. 30/2024, our role as PIKK is to set group-wide strategy and ensure good governance is actually practiced across the conglomerate, not just written down on paper, and this department exists to carry that mandate forward. The role covers three areas: strategic planning, synergy coordination across our subsidiaries, and corporate governance for the holding company and the group, including functions to support the Board of Directors and Board of Commissioners, maintaining statutory and corporate documentation, and acting as our point of contact with OJK on governance and reporting matters.
This is a ‘hands-on’ role to start. You will be the one shaping strategy, running coordination efforts, and handling governance and corporate secretarial matters yourself, with the expectation that you will grow and build the team underneath you as the function matures. If you want to build something from the ground up rather than step into an existing structure, this is that kind of role.
Job Responsibilities
Develop the group's strategic plan and corporate roadmap, working closely with the holding company's leadership and subsidiary management
Translate group strategy into clear priorities and track progress against them
Coordinate synergy initiatives across subsidiaries, identifying opportunities for the group to operate as one conglomerate rather than separate entities
Facilitate cross-entity collaboration, including organizing forums and working sessions between subsidiaries where needed
Design and implement corporate governance policies and structures for the holding company, in line with POJK No. 30/2024 and the integrated governance framework it requires of PIKK
Support the establishment of governance bodies and committees required of PIKK under applicable OJK regulations
Act as Corporate Secretary, organizing Board and Board of Commissioners meetings, preparing minutes and resolutions, and maintaining statutory and corporate documentation
Serve as a key point of contact with OJK on governance-related reporting and disclosure requirements applicable to PIKK
Monitor how well governance practices are actually being followed across the group, not just whether they exist on paper
Prepare materials and reports on strategy and governance matters for senior management and the Board
Build the strategy and governance team as the function grows, while remaining hands-on with the core work yourself
What We're Looking For
Bachelor's degree in Business, Finance, Economics, Law, or a related field; a relevant Master's degree is an advantage
Minimum 10-15 years of experience in corporate strategy, corporate governance, or related fields, with experience in financial institutions or financial holding structures highly valued
Experience in a Corporate Secretary role, or in handling statutory compliance and Board administration, is highly valued
Experience working within or advising a group structure with multiple subsidiaries is highly valued
Strong understanding of Indonesian corporate governance practices and relevant OJK regulations, including POJK No. 30/2024
Fluent in English, both written and spoken; able to communicate confidently with senior leadership
Strong analytical and strategic thinking, with the ability to translate high-level direction into practical execution
Comfortable being the first person in a function, building processes and structure where none currently exist
High integrity and sound judgment, particularly given the governance-related nature of the role
