Job Brief:
The company is seeking an experienced Legal Counsel to oversee all legal aspects of its operations. This role requires a strong background in real estate law, corporate governance, and commercial contracts, ensuring compliance with Indonesian regulations while minimizing risks. The ideal candidate is an autonomous legal expert who can design, negotiate, and finalize contracts, engage directly with investors, and provide strategic legal counsel to the leadership team.
Job Description:
- Provide strategic legal advice to support business objectives while ensuring compliance with relevant laws and regulations.
- Develop, review, and negotiate contracts, including real estate transactions, leases, supplier agreements, and hospitality management contracts.
- Identify, assess, and mitigate legal risks associated with business activities.
- Represent the company in legal proceedings, dispute resolutions, and negotiations.
- Ensure regulatory and corporate governance frameworks are up to date and effectively implemented.
- Engage directly with investors, business partners, and government stakeholders on legal matters.
- Conduct due diligence on property transactions and partnerships to ensure risk-free investments.
- Oversee and mentor a small legal team, ensuring efficiency and professional growth.
- Monitor regulatory changes in Indonesian land law, investment regulations, and hospitality industry requirements, raising red flags when necessary.
- Work closely with notaries, external legal advisors, and third-party law firms to validate the sufficiency of legal documentation.
- Handle compliance matters related to SLF, IMB, NIB, PBG, and other property-related certifications.
Job Requirements:
- Minimum 3 years of legal experience in real estate, construction, or hospitality industries.
- Strong expertise in Indonesian corporate and commercial law.
- Proven experience handling high-value contracts (local and overseas) totaling over $50M.
- Dispute resolution experience, including 5+ pre-trial cases ($100K+) and 2+ court cases ($200K+).
- Familiarity with OSS, LKPM, WLKP, and Satu Pintu legal procedures.
- Excellent contract drafting, negotiation, and risk assessment skills.
- Ability to defend the company’s legal position while maintaining flexibility to reach consensus.
- Strong leadership skills to manage a junior legal team and external legal advisors.
- Fluent in English (B2 level or higher) and native-level Indonesian.
- High ethical standards, professional integrity, and the ability to work in a fast-paced environment.
- Preferably experience in major hotel chains or real estate law firms.
