About the role
We are seeking a Corporate Secretary with a Legal Background to join EMC Healthcare Group at our South Tangerang, Banten location. This is a full-time position that plays a crucial strategic role within our organisation. As Corporate Secretary, you will serve as a key liaison between the Board of Directors, senior management, and the organisation, ensuring robust governance, compliance, and corporate administration. This role is essential to maintaining our high standards of corporate governance and supporting the strategic direction of the healthcare group.
Key responsibilities
Maintain, organize, and manage the Company's legal and corporate documents, ensuring proper documentation, accuracy, confidentiality, and compliance with applicable laws and regulations.
Coordinate and facilitate the preparation and execution of the Annual General Meeting of Shareholders (AGMS), Extraordinary General Meeting of Shareholders (EGMS), and Public Expose, including meeting documentation and regulatory compliance.
Ensure timely fulfillment of all reporting and disclosure obligations for the listed company to regulatory authorities, stock exchanges, and other relevant stakeholders in accordance with applicable regulations.
Prepare, review, and provide legal research, analysis, and opinions to support management's decision-making and ensure compliance with prevailing laws and corporate governance standards.
Monitor changes in laws and regulations affecting the Company and provide recommendations to ensure ongoing regulatory compliance.
Coordinate communication between the Company, shareholders, regulators, investors, and other stakeholders on corporate governance and compliance matters.
Support the implementation of Good Corporate Governance (GCG) principles and corporate governance best practices across the organization.
Maintain corporate records, including resolutions, minutes of meetings, corporate licenses, and statutory registers, ensuring completeness and accessibility.
Assist in drafting and reviewing corporate documents, resolutions, policies, and other legal or governance-related documentation.
Collaborate with internal departments and external legal advisors, regulators, and notaries on corporate legal and governance matters.
What we're looking for
Bachelor's degree in Law
Minimum of 2 years experience in corporate law, in-house legal counsel roles, or corporate governance within a healthcare or medical services environment, fresh graduates are welcome.
Strong knowledge of Indonesian corporate law, healthcare regulations, and regulatory compliance requirements
Demonstrated expertise in board administration, corporate governance, and corporate secretarial functions
Excellent contract drafting and negotiation skills with exposure to healthcare-related agreements and commercial contracts
Proficiency in English and Indonesian, both written and verbal
Strong communication and interpersonal skills, with the ability to engage effectively with senior leadership and external stakeholders
Exceptional organisational skills and attention to detail in managing documentation and corporate records
Ability to work independently whilst collaborating within a team environment
