Key Responsibilities
1. Draft, review, negotiate, and provide legal advice on various agreements and legal documents.
2. Handle corporate secretarial matters, including General Meeting of Shareholders (GMS), Board of Directors/Board of Commissioners (BOD/BOC) meetings, resolutions, and maintenance of corporate legal documents.
3. Provide legal analysis and practical recommendations for operational and strategic business matters.
4. Ensure compliance with applicable laws, regulations, and corporate governance requirements.
5. Coordinate with notaries, external legal counsel, regulators, and government authorities.
6. Support licensing, regulatory reporting, and compliance processes across company entities.
7. Review commercial transactions and operational activities to identify and mitigate legal risks.
8. Support management in handling corporate actions, disputes, and other sensitive legal matters.
9. Continuously improve legal documentation, governance, and internal legal processes.
Qualifications
1. Bachelor's Degree in Law (S.H.); Master of Notary (M.Kn.) is an advantage.
Strong experience in contract drafting, legal analysis, corporate secretarial, and corporate governance matters.
2. Able to think critically and provide practical legal solutions, not only drafting support.
3. Familiar with licensing, regulatory compliance, and corporate governance processes.
4. Experience in mining, energy, infrastructure, or industrial sectors is preferred.
5. Exposure to land acquisition, operational licensing, and government relations is an advantage.
6. Experience handling multi-entity corporate structures and group company support.
7. Previous experience in a reputable law firm and/or corporate legal department is preferred.
8. Strong communication, coordination, and stakeholder management skills.
9. Fluent in Bahasa Indonesia and able to work with English legal documentation and communication.
10. Highly organized, detail-oriented, and able to work effectively under pressure in a fast-paced environment.
